Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING.

1. DATES OF SWEEPSTAKES. This Sweepstakes begins at 12:00:01 am Eastern time on August, 24, 2026, and ends at 11:59:59 pm Eastern Time on October 24, 2026 (the “Sweepstakes Period”). This Sweepstakes shall not be published without the written permission of the Sponsor.

2. SPONSOR. The Sponsor of the Sweepstakes is Matrix Basement Systems, Inc., located at 3050 N Kennicott Ave, Arlington Heights, IL 60004.

3. ELIGIBILITY. Matrix Basement Systems, Inc. Dream Basement Sweepstakes (“Sweepstakes”) is open only to legal residents of Illinois, Michigan, and Wisconsin who are eighteen (18) years of age as of the date of entry. Employees of Matrix Basements (“Sponsor”), Sponsor’s parent, subsidiary, and its affiliate companies, ALLCITY NETWORK INC (“Sponsor Partner”) and Sponsor Partner’s parent, subsidiary, and its affiliate companies,  and administrative, advertising and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Sweepstakes, and any members of these persons immediate families (spouse, parents, siblings and children and each of their respective spouses, children and siblings), and persons living in the same households of each of the above (whether legally related or not) are ineligible to participate in this Sweepstakes. Proof of residency, employment and age may be required to enter the Sweepstakes or receive a prize.  Entrants must fully comply with the Official Rules and, by entering, represent, warrant, and agree to be bound by these Official Rules and the decisions of the Sponsor, whose decisions shall be binding and final in all respects relating to the Sweepstakes.

4. HOW TO ENTER. No purchase or payment of any kind is necessary to enter or win. Each eligible entrant may obtain one (1) free entry into the Sweepstakes by completing the online entry form available at www.matrixbasements.com/basement-giveaway, at certain on-location promotional events hosted by Sponsor or Sponsor Partner or by submitting an entry in person at Matrix Basement Finishing corporate office located at 3050 N Kennicott Ave, Arlington Heights, IL 60004 during the Sweepstakes Period. The entry form requires the participant to provide their full name, valid email address, telephone number, and consent to receive marketing communications from Sponsor in compliance with Wisconsin, Illinois, and Michigan, consumer protection laws. Limit one (1) free entry per person during the Sweepstakes Period. Use of automated systems or bots to enter is strictly prohibited and will result in disqualification.

ACCESSIBILITY AND ACCOMMODATIONS. Individuals requiring accommodations to enter the Sweepstakes or attend the Final Event should contact Sponsor at sweepstakes@matrixbasements.com at least 5 days in advance. Sponsor will provide reasonable accommodation consistent with applicable law.

5. BONUS ENTRY OPPORTUNITIES. Entrants may earn additional entries (each, a "Bonus Entry") by completing one or more of the optional tasks described below. Bonus Entries are entirely optional, and completing Bonus Entry tasks is not required to enter or win the Sweepstakes. No purchase or payment of any kind is necessary to earn a Bonus Entry.

a. Bonus Entries. Entrants may earn Bonus Entries by completing the following social media tasks on Sponsor's designated social media platforms:

b. Maximum Bonus Entries. Each eligible entrant may complete each qualifying Bonus Entry task described in this Section 6 only once during the Sweepstakes Period. Each eligible entrant may earn no more than 25 Bonus Entries in the aggregate. Duplicate or repeated completion of the same qualifying task will not result in additional Bonus Entries. All entries become the property of Sponsor and will not be acknowledged or returned.

Sponsor reserves the right to verify Bonus Entry task completion and disqualify entries based on tasks that were not genuinely completed or that violate platform terms of service.

6. GRAND PRIZE. One (1) grand prize consisting of a basement makeover (the “Grand Prize”) will be awarded to the prize winner. Total fair market value (“Prize Value”) of the Grand Prize awarded will be $80,000. There are no other Grand Prizes. The Grand Prize is non-transferable and cannot be exchanged for cash or any other alternative.

No substitution of the Grand Prize is allowed except by Sponsor in its sole discretion due to prize unavailability or other unforeseen circumstances.

7. SELECTION OF POTENTIAL FINALISTS. On or about November 2, 2026, Sponsor will randomly select one (1) potential finalists (“Potential Finalists”) from among all eligible entries received during the Sweepstakes Period. Odds of being chosen as a Potential Finalist depend on the number of eligible entries earned for the Sweepstakes. Selection as a Potential Finalist does not constitute winning the Grand Prize.

Sponsor will attempt to contact each Potential Finalist by telephone using the telephone number provided with the entrant’s entry to confirm the Potential Finalist’s availability to attend the final prize event (the “Final Event”), to be held at 1143 West Rundell, Chicago, IL 60607 on or about November 9, 2026. Each Potential Finalist will have forty-eight (48) hours from Sponsor’s initial notification attempt to confirm their availability and attendance at the Final Event. Attendance at the Final Event is required to remain eligible to win the Grand Prize.

If a Potential Finalist cannot be contacted, fails to respond within the forty-eight (48) hour period, is unable or unwilling to attend the Final Event, or is otherwise determined to be ineligible, such Potential Finalist will be disqualified and Sponsor may select an alternate Potential Finalist from among the remaining eligible entries.

8. SELECTION OF GRAND PRIZE WINNER. The Finalist who timely confirms their attendance and attends the Final Event in Chicago on or about November 9, 2026 (, a “Finalist”) will be eligible to participate in the Grand Prize selection. At the Final Event, the Finalist will select one (1) briefcase from among two (2) briefcases in accordance with the procedures established by Sponsor. One (1) briefcase will contain the Grand Prize. The remaining briefcase will contain a secondary prize with a value of at least $100. The Finalist will receive the prize corresponding to the briefcase selected by that Finalist. The odds of winning the Grand Prize with be 50%.

If the Finalist selects the briefcase containing the Grand Prize, they will be deemed the potential Grand Prize winner, subject to verification of eligibility and compliance with these Official Rules.

A Finalist must be present at the Final Event at the time designated by Sponsor to participate in the Grand Prize selection. If a Finalist fails to appear or is otherwise unable to participate in the Grand Prize selection, such Finalist will forfeit the opportunity to participate and will not be eligible to win the Grand Prize or a secondary prize.

SWEEPWIDGET PLATFORM. Sponsor uses SweepWidget software to administer entries and Bonus Entry tasks. By entering the Sweepstakes, entrants acknowledge and agree that their participation is subject to SweepWidget's terms of service and privacy policy, available at https://sweepwidget.com/docs/terms-of-use and https://sweepwidget.com/docs/privacy-policy , in addition to these Official Rules. Sponsor uses commercially reasonable efforts to ensure platform reliability; however, Sponsor is not liable for technical failures, errors, or malfunctions of the SweepWidget platform beyond Sponsor's reasonable control that may affect entry submission or Bonus Entry tracking. In the event of a platform failure that cannot be timely remedied, Sponsor may conduct the applicable random drawing or entry verification by alternative means, as determined by Sponsor in its sole discretion.

9. VERIFICATION OF POTENTIAL FINALISTS. Potential Finalists may be required to complete and return an Affidavit of Eligibility, Release of Liability and Publicity Release (where not prohibited by law) (collectively, the “Affidavit”) within five (5) days after Sponsor’s request. The completed Affidavit must be returned to Sponsor by electronic signature. As part of the verification process, a Potential Finalist may also be required to provide valid proof of identity and residency (such as a current driver’s license or state-issued ID) within the same five (5) day period. In the event: (a) a Potential Finalist cannot be reached for whatever reason after a reasonable effort has been exerted or the Potential Finalist notification or Affidavit sent by Sponsor is returned as undeliverable; (b) a Potential Finalist declines or cannot accept, receive or use the prize for any reason; (c) a Potential Finalist is determined by Sponsor, in its sole discretion, to be ineligible to participate in the Sweepstakes or receive the prize; (d) a Potential Finalist cannot or does not comply with the Official Rules; or (e) a Potential Finalist fails to fulfill the Affidavit-related obligations within the applicable five (5) day period, then the Potential Finalist shall be disqualified from the Sweepstakes and an alternate Potential Finalist may be selected, at Sponsor’s sole discretion, from among the other eligible entries received. Sponsor reserves the right to modify the notification and Affidavit procedures in connection with the selection of alternate Potential Finalists, if any.

10.  PRIZE RESTRICTIONS. The prize is non-transferable and non-assignable, in whole or in part, and no substitutions or cash redemptions are permitted; except at Sponsor’s sole discretion or as otherwise provided herein. Sponsor will not replace any lost or stolen prize. In the case of the unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value. By participating in the Sweepstakes, Potential Finalist consents [A1]  to the use of his/her name, address, likeness, biographical information, and voice in advertising, promotion, and publicity worldwide without additional compensation.  Potential Finalist will be asked to acknowledge and sign a Name, Image and Likeness Release Agreement prior to participating in the Grand Prize event.

11.  PRIVACY AND USE OF DATA. Participants’ personal information will be collected, stored, and used for purposes of administering the Sweepstakes and, where permitted by law and the entrant’s choices, for marketing purposes directly related to Sponsor. Sponsor will collect and use personal information in accordance with applicable privacy and consumer protection laws and Sponsor’s privacy policy, a copy of which can be found at www.matrixbasements.com/privacy-policy/ Sponsor will maintain reasonable administrative, technical, and organizational safeguards designed to protect personal information collected in connection with the Sweepstakes. Sponsor may use third-party service providers, including SweepWidget, to facilitate and administer the Sweepstakes, and personal information may be disclosed to such service providers as reasonably necessary for those purposes.

By entering the Sweepstakes, entrant understands and voluntarily consents to the collection and use of entrant’s personal information as described in these Official Rules and Sponsor’s privacy policy. To the extent entrant elects to receive promotional or marketing communications from Sponsor, entrant may opt out of Sponsor’s promotional and marketing communications by calling 847-290-8000 or sending request to sweepstatkes@matrixbasements.com, subject line: Opt Out  . SweepWidget’s privacy policy can be found at https://sweepwidget.com/docs/privacy-policy. Entrant may request to opt out of sharing of personal information or to limit the use of sensitive personal information collected and held by SweepWidget contacting SweepWidget at data@sweepwidget.com. Changing privacy choices and/or choosing not to share all or certain information will not affect the entrant’s odds of winning the Grand Prize.

12.   TAXES. The prize winners are responsible for all federal, state, and local taxes on the prize. If the fair market value of any prize is more than $600, Sponsor will issue an IRS Form 1099 to the such winner by January 31 of the following year. Each winner must provide all necessary information for tax purposes which shall be provided by the Finalist prior to the participation of the Grand Prize selection at the Final Event.

13. CONDITIONS. The Sweepstakes is conducted in English. In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and any abbreviated rules or other statements contained in any Sweepstakes-related materials, including any entry form, survey, and/or advertising of the Sweepstakes, the terms and conditions of these Official Rules shall prevail, govern, and control. By participating in the Sweepstakes, entrants and prize winner agree to be bound by these Official Rules and the decisions of and determinations by the Sponsor, which are final in all respects and not subject to appeal. Sponsor reserves the right to disqualify from the Sweepstakes any entrant that Sponsor believes has violated these Official Rules. By participating in the Sweepstakes, entrants and prize winner release the Sponsor and its Affiliates from any and all liability, damages or causes of action (however named or described) with respect to or arising out of the Sweepstakes, and/or the receipt or use/misuse of any prize awarded, including liability for personal injury, death or property damage. All Sweepstakes materials are subject to verification and are void if (a) not obtained in accordance with these Official Rules and through legitimate channels, (b) any part is counterfeited, altered, defective, damaged, illegible, reproduced, tampered with, mutilated or irregular in any way, (c) obtained where prohibited, or (d) they contain printing, typographical, mechanical, or other errors. Entrants assume all risk of loss, damage, destruction, delay, or misdirection of Sweepstakes materials submitted by or to Sponsor. In the event any portion of the Sweepstakes is compromised by activities beyond the control of the Sponsor which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play of the Sweepstakes, Sponsor reserves the right to modify, suspend or terminate the Sweepstakes and not award any prize. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning a prize if Sponsor determines, in its sole discretion, that said entrant is attempting to undermine the operation of the Sweepstakes by cheating, deception, or other unfair practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrant, or Sponsor or its Affiliates. If for any reason the Sweepstakes is not able to be conducted as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, force majeure (including acts of God, war, terrorism, epidemic, pandemic, governmental order or action, natural disaster, or other events beyond Sponsor’s reasonable control), or any other cause which corrupts or affects the administration, security, fairness, integrity or conduct of the Sweepstakes, then Sponsor reserves the right, exercisable in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes. CAUTION: IF ANY PERSON ATTEMPTS TO DAMAGE OR UNDERMINE THE OPERATION OF THE SWEEPSTAKES, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW. SPONSOR’S FAILURE TO ENFORCE ANY PROVISION OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

14. NO LIABILITY: By participating in the Sweepstakes, entrants and prize winner agree to release, discharge, indemnify and hold harmless the Released Parties from and against any cost, claim, damage, liability or expense sustained, incurred or alleged against any Released Parties arising out of, relating to or resulting from any act or omission by such entrant or prize winner, or their respective successors in interest, related in any way to the Sweepstakes, including from receipt, acceptance, possession, misuse or use of a prize or participation in any promotion related activity or participation in the Sweepstakes.

15. WINNERS LIST. To obtain the name of the Grand Prize winner, send a request by email by November 30, 2026 to Marketing Director, Matrix Basement 3050 N Kennicott Ave, Arlington Heights, IL 60004 or sweepstakes@matrixbasements.com, subject line Matrix Dream Basement Giveaway Contest Winner.

16. LIMITATION ON LIABILITY. The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (b) technical failures of any kind, including malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Sweepstakes; (d) technical or human error in the administration of the Sweepstakes or the processing of registrations; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is to be given another entry in the Sweepstakes.

17.  DISPUTE. This Sweepstakes shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. By participating, entrants agree that any disputes, claims, or causes of action arising out of or relating to this Sweepstakes or these Official Rules shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in Lake County, Illinois, unless otherwise required by applicable law. The arbitrator shall apply these Official Rules and applicable law in resolving any dispute. THE PARTIES AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND WAIVE THE RIGHT TO PURSUE OR HAVE ANY DISPUTE RESOLVED ON A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE BASIS. In the event of a dispute regarding the identity of an entrant, the authorized account holder of the email address used to enter will be deemed the entrant. Any claims, judgments, or awards shall be limited to the greater of (a) actual out-of-pocket expenses incurred in connection with participation in the Sweepstakes or (b) $100. In no event shall attorneys’ fees be recoverable. Entrants further waive the right to claim any damages other than actual out-of-pocket expenses, including but not limited to punitive, consequential, or indirect damages, except in the event of willful misconduct or fraud.

18. CONSTRUCTION.  The headings of the various paragraphs are for reference purposes only and are not intended to limit, construe, or interpret any paragraph or provision of these Official Rules.  For the purposes of this Agreement: (a) the term “including” is intended to be inclusive and not exclusive and shall be interpreted as if, in each case, it read “including, without limitation,” unless the context of use clearly requires a different interpretation; (b) “Affiliate” means, with respect to any person, any other person that directly, or indirectly through one or more intermediaries, controls or is controlled by, or is under common control with, the person specified; as used herein, “controls,” “control” and “controlled” mean the possession, direct or indirect, of the legal power to direct the management and/or policies of a person, whether through the ownership of fifty percent (50%) or more of the voting interests of such person through contract, law or otherwise; (c) “Section” means a numbered portion of these Official Rules; and (d) “Released Parties” means the Sponsor and its Affiliates, and each of their respective officers, directors, employees, representatives, agents, and third-party service providers engaged in the administration of the Sweepstakes, including SweepWidget.
